CONSTITIUTION

BLOSSOMWOOD SWINNIMG ASSOCIATION, INC.

ARTICLE I

 

The name of the corporation shall be the Blossomwood Swimming Association, Inc. herein after referred to as the "Association."

ARTICLE II

The Association shall be domiciled in Huntsville, Madison County, Alabama.

 

ARTICLE III

 

Section I.  The Association shall own, operate and maintain the swimming pools and such additional associated facilities as the members may from time to time desire for the exclusive use of themselves and their families or guest and, in addition, shall exercise all powers granted to similar corporations under the laws of Alabama.

 

Section II.  The Association shall not engage in the business of selling, keeping for sale, division, distribution, or other disposition, to its members or guest, at or near premises owned or controlled by the Association, for consumption by its members or guests, any liquors or beverages that are prohibited by the laws of the State of Alabama to be sold or otherwise distributed in the State.  Nor shall the Association permit any game to be played for wager, or gambling, nor the keeping of any gambling device, on or about the said premises.  The failure of the Association to observe the requirements of this Article shall result in forfeiture of the chapter in incorporation and all rights incidental thereto.

ARTICLE IV

 

Section 1.  Members shall be admitted as provided for in the By-Laws.

 

Section 2.  Purchase of one membership share shall entitle the purchaser to one voting membership with full participation.  All other members of the shareholder's immediate family who reside in the member's household shall enjoy participation but without any additional voting privilege.   Annual dues will be apportioned on the basis of membership shares.

 

Section 3.  The Board of Directors, hereinafter provided for, shall have full discretion to decide on admission to the Association of applicants to membership.

 

Section 4.  Memberships may be terminated for cause as provided for in the By-laws.

ARTICLE V

Section 1.  The affairs, property, management and control of the Association shall be in the charge of a Board of Directors that shall be empowered to act for the Association in all matters as provided in the By-laws.  The Board of Directors hereinafter shall be referred to as the "Board."


Section 2.  The powers and duties of the Board shall include, but shall not be limited to the following:

A.  Adoption and revision as necessary of rules governing use of the Association's facilities by the membership.

B.  Adoption and revision as necessary of rules governing the use of facilities by members' guest, including limitation of the number of guest and establishment of guest fees.

C.  Employment, management, and dismissal of such paid personnel as the Board considers necessary.

Section 3.  The Board shall consist of a minimum of 8 and a maximum of 12 directors, who shall elect from among their own number of Officers of the Association.

Section 4.  The Officers of the Board shall be a President, Vice President, Secretary, Treasurer and membership Director.

Section 5.  The term of office of the directors shall be no more than four (4) continuous years.

ARTICLE VI.

 

Section 1.  A General Membership meeting shall be called by the President of the Board to be held annually.  Notice in writing of the meeting shall be posted on the pool bulletin board and on the web site no less than two (2) weeks before the date set for such meeting.

 

Section 2.  Special meetings may be called by the President and shall be so called by him within fourteen (14) days upon request of a majority of the Board or upon the written petition of at least ten percent (10%) of membership.

 

Notice in writing of a special meeting shall be POSTED on the pool web site and bulletin board five (5) days before the date set for such meeting.

 

ARTICLE VII.

 

Section 1.  The Board may delegate, to employees or other persons in attendance at the Association's swimming pool or other facilities, all authority necessary to enforce health and safety regulations and to maintain good order, including authority to eject offenders from Association property, but only consistent with the laws of the United States, the State of Alabama, and the City of Huntsville.

ARTICLE VIII.

The constitution and By-Laws of the Association may be amended by a majority vote of members present at a properly called Annual General Membership Meeting or Special Meeting of the membership, but only when the notice of said meeting states that a vote to amend the Constitution will be taken at such meeting.
